In these general terms and conditions, Quant Group B.V. is hereinafter referred to as "Quant Group", "contractor" or "service provider".
Article 2 – Applicability
2.1. These general terms and conditions apply to every offer, agreement and provision of services by Quant Group, including but not limited to the provision of information, digital services, trading signals, trainings, courses, masterclasses, workshops, events, coaching, guidance and other activities aimed at knowledge development, personal development or professional development.
2.2. Where these terms and conditions refer to Quant Group, this shall – to the extent applicable – also be understood to include the employees, directors and third parties engaged by Quant Group for the performance of an agreement.
2.3. Deviation from these general terms and conditions is only possible if Quant Group has expressly agreed thereto in writing.
2.4. The provisions of these general terms and conditions are also drawn up for the benefit of employees, directors, auxiliary persons and other persons who perform work on behalf of or for Quant Group.
2.5. General terms and conditions, purchasing conditions or other terms of a client shall not apply, unless Quant Group has expressly accepted their applicability in advance in writing.
2.6. If a provision of these general terms and conditions is wholly or partially null and void, voidable or otherwise unenforceable, the remaining provisions shall remain in full force. In that case, the parties shall, if necessary, agree on a replacement provision that is legally valid and that corresponds as closely as possible to the purpose and intent of the original provision.
2.7. If a provision is open to more than one interpretation, it must be interpreted as far as possible in accordance with the purpose, nature and intent of these general terms and conditions and the agreement concluded between the parties.
2.8. Situations not expressly provided for in these general terms and conditions shall be assessed on the basis of the content and purport of the agreement, these terms and conditions and the applicable Dutch law.
2.9. The fact that Quant Group does not invoke a provision of these terms and conditions at any given time does not mean that it waives the right to demand compliance with that provision at a later time.
Quant Group carries out its activities within the limits of applicable laws and regulations. To the extent that Quant Group provides information, market analyses, trading signals, models, educational information or general investment recommendations, these should not automatically be regarded as personal investment advice. Whether a licence, registration or other legal obligation applies to a specific activity is determined on the basis of the actual nature and execution of that activity and the applicable financial laws and regulations.
Article 3 – Provision of the general terms and conditions
3.1. These general terms and conditions shall be made available to the client or customer before or at the latest at the time an agreement is concluded.
If prior provision is reasonably not possible, Quant Group shall indicate how the terms and conditions can be consulted and they shall be sent free of charge upon request.
3.2. If an agreement is concluded electronically, these general terms and conditions may also be made available electronically, provided the customer or client can easily store them and consult them at a later date.
Article 4 – Offers and formation of agreements
4.1. A quotation or offer from Quant Group is without obligation and, unless stated otherwise, has a validity period of thirty days.
An agreement based on a quotation is formed once the quotation has been accepted without reservation within the validity period or once Quant Group has confirmed the assignment in writing.
Obvious errors or discrepancies must be reported by the client as soon as possible after receipt of the order confirmation.
4.2. Unless expressly stated otherwise, prices quoted to consumers include VAT. For business clients, Quant Group may quote prices excluding VAT, provided this is clearly indicated in the offer.
Any additional costs will be stated separately insofar as they are known in advance.
4.3. An agreement may, among other things, be formed by signing a quotation or agreement, by letter or e-mail, via a digital registration form, an online ordering process or by written confirmation of a previously verbally made appointment.
4.4. A performance or delivery period specified by Quant Group shall only be regarded as a strict deadline (fatale termijn) if this has been expressly agreed in writing.
If a deadline is exceeded, Quant Group must – insofar as required by law – first be given a reasonable additional period to still fulfil its obligations before further legal consequences can be attached to the exceedance.
4.5. When Quant Group cooperates with other parties for the performance of an assignment, the parties may mutually agree which part of the work is carried out by which party.
Quant Group is not liable for work independently carried out by a third party insofar as this does not fall under the responsibility of Quant Group, except in cases where the law provides otherwise.
4.6. Quant Group is not bound by an obvious clerical error, calculation error, pricing error or other manifest mistake in a quotation, offer, website or other communication if the client could reasonably have understood that a mistake had been made.
Article 5 – Performance, rights and obligations
5.1. Quant Group shall carry out an accepted assignment with due care, expertise and to the best of its ability, in accordance with what may reasonably be expected of a professional service provider.
5.2. Unless expressly agreed otherwise in writing, Quant Group is subject to a best-efforts obligation and not an obligation of result.
A desired financial, commercial, educational or other result is therefore not guaranteed.
5.3. Quant Group is authorised to engage third parties, suppliers or specialised service providers for the performance of its services.
Quant Group shall exercise the care that may reasonably be expected of it in selecting them.
5.4. If one of the parties materially fails to fulfil its obligations and this failure is not remedied after a proper written notice of default and within a reasonable period for remedy, the other party may terminate the agreement insofar as permitted by law.
Work already duly performed remains payable.
5.5. If Quant Group is dependent on information, documents, access, actions or cooperation from the client or participant for the performance of an assignment, Quant Group is not responsible for delays or shortcomings arising from such information or cooperation not being provided, being provided incorrectly, or being provided too late.
Article 6 – Continuation, participation and placement
6.1. A training, workshop, course, meeting or similar activity may be dependent on a minimum number of participants.
If this number is not reached, Quant Group is entitled to postpone, combine or cancel the activity.
Where possible, Quant Group will consult with the client or participant about a suitable alternative.
6.2. If only a limited number of places is available for an activity, participants shall in principle be placed in order of definitive registration or payment, unless a different selection method has been announced in advance.
Article 7 – Postponement and cancellation of programmes
7.1. A request for postponement, cancellation, dissolution or termination must be made in writing or electronically in a manner accepted by Quant Group.
7.2. If a participant fails to appear on the agreed date without timely cancellation, the financial obligations shall in principle remain in place, unless mandatory law provides otherwise.
7.3. For ongoing or open programmes, cancellation or postponement is possible free of charge up to six weeks before the start of the first meeting, unless other conditions have been agreed in the agreement.
7.4. In the event of cancellation or termination between four and six weeks before the start, Quant Group may charge a maximum of 75% of the agreed fee, insofar as this is reasonable in view of the costs incurred, reserved capacity and applicable legislation.
7.5. In the event of cancellation within four weeks of the first meeting, Quant Group may charge a maximum of 100% of the agreed fee, insofar as permitted by law and reasonable in view of the circumstances.
7.6. If only a postponement is requested within four weeks before the start, Quant Group may charge a maximum of 50% of the fee for the originally reserved date.
Article 8 – Custom activities and personal sessions
8.1. For trainings, trajectories or other activities specially developed for a client, cancellation is in principle possible free of charge up to eight weeks before the start and postponement up to four weeks before the start, unless agreed otherwise in writing.
8.2. If the client postpones a custom activity within four weeks but more than two weeks before the start, Quant Group may charge € 250 in administration and planning costs.
8.3. In the event of postponement within two weeks of the start, in addition to € 250 in administration costs, a maximum of 50% of the agreed fee for development, preparation, course and location may be charged.
8.4. If a trajectory specially developed for the client is cancelled within eight weeks of the start, Quant Group is entitled to charge the demonstrably already incurred development, preparation and execution costs, in addition to any agreed administration costs.
8.5. In the event of cancellation within four weeks, a maximum of 100% of the agreed costs may be due, insofar as this is reasonable in the specific circumstances and mandatory consumer rules do not preclude this.
Article 9 – Coaching, guidance and operational support
9.1. An appointment for coaching, guidance or operational support may be postponed free of additional charge if this is reported at least 48 hours before the agreed start, unless the parties have agreed otherwise.
If Quant Group agrees to a change between 24 and 48 hours in advance, it may waive costs.
9.2. In the event of postponement within 24 hours of the start, Quant Group may charge 50% of the agreed amount for the relevant appointment.
9.3. In the event of cancellation within 24 hours of the start, 100% of the agreed fee for the reserved time may be due.
9.4. In the event of cancellation between 24 and 48 hours before the start, a maximum of 50% of the fee for the relevant appointment may be due.
9.5. If the client does not make use of a reserved service or appointment without cancelling, the agreed fee shall in principle remain payable in full.
For consumers, these provisions apply only insofar as they are not contrary to mandatory consumer legislation.
Article 10 – Force majeure
10.1. A failure cannot be attributed to a party if it is the result of a circumstance that is beyond its reasonable sphere of influence and, pursuant to law, agreement or generally accepted standards, should not be at its expense.
During such a force majeure situation there is in principle no entitlement to damages.
10.2. If a force majeure situation continues for longer than thirty days and performance can therefore reasonably no longer be required, the other party may terminate in writing the parts of the agreement not yet performed, without any obligation to pay damages arising solely from such termination.
10.3. Force majeure may include, among other things, fire, serious or prolonged illness, death, government measures, war, terrorism, epidemics, prolonged power or internet outages, disruptions at data centres or communications providers, cyber incidents, failure of essential software or infrastructure and other circumstances over which the party concerned cannot reasonably exert influence.
Article 11 – Fees and payment
11.1. The fee of Quant Group is determined on the basis of an agreed fixed price, subscription, project rate, hourly rate or another previously agreed method of calculation.
11.2. Prices communicated to consumers include VAT, unless the law or the nature of the offer permits otherwise and this is clearly stated. Business rates may be shown excluding VAT.
11.3. Additional costs, travel and accommodation costs, location costs or costs of third parties engaged are only due insofar as this has been agreed or made known in advance.
11.4. Unless agreed otherwise, invoices must be paid within fourteen days of the invoice date.
In the event of late payment, Quant Group may charge statutory interest and legally permitted extrajudicial collection costs.
For consumers, collection costs are only calculated in observance of the applicable statutory requirements and reminder periods.
11.5. For custom work, special facilities, extensive assignments or other work for which Quant Group must incur significant costs in advance, an advance payment or other reasonable security may be required.
11.6. For continuing agreements, Quant Group may periodically adjust rates. For consumers, this only takes place in accordance with the agreement and applicable legislation, and any change is announced in a timely manner.
11.7. If specialised external work is necessary at the request of the client, additional rates may apply. Where possible, these costs are agreed with the client in advance.
11.8. If an assignment is jointly given by multiple clients, they may be jointly and severally liable for payment of the total agreed fee, insofar as this follows from the agreement or the law.
Article 12 – Intellectual property rights
12.1. Documents, analyses, course materials, models, software, algorithms, strategies, texts, presentations, videos, data files, trading signals, reports and other materials provided by Quant Group in the context of its services are intended solely for the agreed use.
Without prior written consent, these materials may not be copied, published, resold, distributed or otherwise made available to third parties, unless expressly permitted by law.
12.2. All intellectual property rights vested in materials developed or provided by Quant Group remain with Quant Group or with the relevant external rights holder.
The customer only obtains a personal, limited and non-transferable right of use insofar as necessary for the use of the agreed service.
Article 13 – Liability and investing
13.1. The liability of Quant Group is limited to what is provided for in this article, insofar as a limitation of liability is legally permitted.
13.2. Quant Group is not liable for damage arising because it relied on incorrect, incomplete, outdated or belatedly provided information from the client, customer or a third party.
13.3. Quant Group is not liable for indirect damage, consequential damage, loss of profit, missed savings or loss of trading or investment results, except insofar as exclusion thereof is not permitted under mandatory law.
A limitation of liability does not apply to damage that may not be excluded or limited under the law.
13.4. All decisions to buy, sell, hold or otherwise trade in financial instruments or other investments are ultimately taken by the customer itself and are made at the customer's own expense and risk.
Quant Group does not guarantee any return and is not responsible for decreases in value, trading losses or other financial consequences resulting from investment decisions made by the customer.
13.5. If Quant Group is nevertheless liable for damage, its liability is – insofar as legally permitted – limited to the amount paid by the customer to Quant Group for the relevant assignment or service.
13.6. The total liability of Quant Group is, insofar as legally permitted, limited to the invoice value of the relevant service or product, with a maximum of € 2,000 per event or related series of events.
This limitation does not apply where mandatory law precludes it.
13.7. Quant Group is not liable for damage arising from unauthorised or unlawful use of an account, password or other access data where such use is the result of a circumstance that should be at the customer's expense.
13.8. Quant Group strives for good availability of www.uwbeurs.nl and its digital systems, but cannot guarantee that they function permanently or without interruption.
Quant Group is not liable for temporary unavailability, maintenance, disruptions or problems at hosting, data, internet or software providers, except insofar as the law provides otherwise.
13.9. Investing involves risks. Prices can go both up and down, and an investor may lose part, or depending on the product, all of the invested capital.
Past performance is no guarantee of future results.
13.10. The customer is responsible for lawful and careful use of the services and, insofar as legally permitted, indemnifies Quant Group against claims from third parties that arise directly from unlawful use of the services by the customer.
13.11. For analyses and services, Quant Group may use its own models, algorithms, artificial intelligence, automated systems and external data sources, including price data providers, public data sources, news sources, social media, backtests and test or trading environments. Article 16 of these terms and conditions additionally applies to the use of artificial intelligence.
Although Quant Group makes efforts to use reliable sources, it cannot guarantee that third-party information is at all times correct, complete, up to date or error-free.
13.12. Financial market information is time-sensitive. An analysis, price, signal or other outcome therefore in principle reflects the situation at the moment it is drawn up or published.
The market situation may change immediately thereafter.
13.13. A customer remains at all times personally responsible for assessing whether a transaction or investment is suitable for their personal situation, knowledge, experience, financial position, objectives and risk appetite.
Where necessary, the customer should seek independent professional advice in advance.
Article 14 – Confidentiality
14.1. Parties shall treat as confidential information which they know or should reasonably understand to be confidential.
This may include, among other things, business information, methodologies, strategies, models, course content, technical information, trading systems, trading signals and other non-public knowledge of Quant Group.
14.2. The confidentiality obligation does not apply if disclosure of information is necessary pursuant to a statutory obligation, a binding order of a competent regulator or an enforceable court ruling.
Where Quant Group must provide information on that basis, this does not in itself give rise to an obligation to pay damages.
Article 15 – Personal data and privacy
15.1. Quant Group processes personal data only where a valid legal basis exists for doing so and in accordance with the applicable privacy legislation, including the General Data Protection Regulation.
Personal data necessary for concluding or performing an agreement may be processed for that purpose.
For other purposes, including certain forms of marketing, separate consent will be requested where necessary or another legal basis will be used.
Quant Group processes personal data in accordance with its privacy statement and takes appropriate measures to protect this data.
Insofar as third parties are engaged as processors, appropriate arrangements are made with these parties where legally required.
Article 16 – Use of artificial intelligence and digital technology
16.1. Quant Group uses artificial intelligence, algorithms, automation and other digital technologies in the development, production and performance of its services.
16.2. These technologies may, among other things, be used for analysing and structuring data, drawing up and supporting market analyses, generating and editing texts, images, graphics, audio and video, developing educational material and supporting digital communication and customer service.
16.3. Quant Group may make use of software and services from external technology and AI providers in doing so.
16.4. Certain persons, voices, presenters or other elements visible or audible in videos, presentations, advertisements, social media, courses or other digital content may be wholly or partly created, adapted or synthesised using artificial intelligence. Where required under applicable laws and regulations, Quant Group will disclose this appropriately.
16.5. Information generated or supported by artificial intelligence may, despite checks, contain inaccuracies, omissions or outdated information. Quant Group strives to verify important information where reasonably possible, but does not guarantee that every AI-supported output is error-free or complete.
16.6. The use of artificial intelligence does not change the nature of the services as described elsewhere in these terms and conditions. Information, analyses, models, signals and educational content must be assessed within the context in which they are provided and do not automatically constitute personal investment advice.
16.7. Quant Group is entitled to change, replace or further develop the AI systems, software, data sources, algorithms, models, suppliers and technical methods used for its services, provided that this does not materially change the core of a service already agreed to the detriment of the customer.
Article 17 – Digital products, information and trading signals
17.1. Quant Group may offer digital products and services, including trading signals, market information, analyses, courses, masterclasses, trainings, software, online environments and other digital information products.
These products are intended for information, analysis and/or educational purposes, unless expressly stated otherwise for a specific service.
17.2. Financial market information and trading signals do not constitute a guarantee that a particular transaction will be profitable.
A customer decides for themselves whether to trade on the basis of information received.
The consequences of an investment decision taken by the customer are at the customer's own expense and risk, except for liability that cannot be excluded under mandatory law.
Article 18 – Cancellation and termination of online products
18.1. A request for cancellation or termination of a digital service or online product must be submitted in writing or via the digital channel available for that purpose.
18.2. If a customer has registered for an online meeting, masterclass, course or similar activity on a specific date and does not participate without timely cancellation, this does not automatically entitle the customer to a refund.
Mandatory consumer rights remain fully applicable.
18.3. Specific cancellation conditions may apply to online programmes that start on a fixed future date. These will be announced before the agreement is concluded.
18.4. If a digital product is made accessible immediately after purchase, payment as such does not automatically mean that a consumer waives their statutory right of withdrawal.
Insofar as digital content is not supplied on a tangible medium, the right of withdrawal may lapse after:
- a. the consumer has expressly agreed in advance to the start of delivery within the statutory withdrawal period;
- b. the consumer has expressly declared to understand that they thereby lose their right of withdrawal; and
- c. Quant Group has provided the legally required confirmation thereof.
For digital services and other agreements, the statutory rules that specifically apply to the relevant type of agreement apply.
Complaints about products or services can be submitted via info@uwbeurs.nl.
Quant Group will investigate and respond to a complaint within a reasonable period.
Article 19 – Right of withdrawal for consumers
19.1. For distance contracts, the statutory rules on cooling-off periods and withdrawal apply to consumers.
Where a statutory cooling-off period applies, it is in principle fourteen days.
19.2. If the consumer expressly requests during the withdrawal period that performance of a service already begin, Quant Group may – if the consumer subsequently withdraws – demand a proportional payment for the part of the service already performed, insofar as permitted by law.
19.3. For a service, the right of withdrawal may, under the statutory conditions applicable thereto, lapse after the agreement has been fully performed, provided that performance began with the express prior consent of the consumer and the consumer has acknowledged that they lose their right of withdrawal after full performance.
19.4. For digital content not supplied on a physical medium, the arrangement described in Article 18.4 applies.
19.5. If the right of withdrawal does apply, the consumer may, within the statutory period, unambiguously inform Quant Group that they wish to withdraw from the agreement. Where legally required, the model withdrawal form will be made available.
19.6. For physical products delivered by post, the statutory right of withdrawal remains applicable insofar as no statutory exception applies. Withdrawal form physical products (PDF, Dutch)
Article 20 – Applicable law and final provisions
20.1. Dutch law applies to every agreement with Quant Group and to these general terms and conditions.
If the customer is a consumer and mandatory provisions of another country offer additional protection, the customer's statutory consumer rights are not limited by this choice of law.
20.2. These general terms and conditions are made available before or when the agreement is concluded and can also be consulted digitally via:
A copy can be sent electronically upon request.
20.3. The customer may not transfer rights and obligations under an agreement to a third party without the prior written consent of Quant Group, unless the law permits transfer without consent.
20.4. Quant Group may amend these general terms and conditions. An amended version applies to new agreements from the moment of publication.
For existing continuing agreements, changes will be announced in accordance with the applicable agreement and statutory requirements.
20.5. If a change constitutes a material adverse change to the agreement for a consumer, the statutory rules on amendment and any termination of the agreement apply.
